This Terms of Service Agreement (the “Agreement”) is entered into by and between Origin Podcast Services Ltd, a company registered in England and Wales under company number 11100503, whose registered office is at 33 Ludgate Hill, Birmingham, England, B3 1EH, United Kingdom (referred to as the “Company” or “we”), and the individual or entity agreeing to these terms (“Customer” or “You”). This Agreement governs your use of the podcast hosting services provided by the Company under the product name Bramble.
1. Acceptance of Terms
By signing up for or using Bramble’s podcast hosting services, you agree to be bound by the terms and conditions outlined in this Agreement. If you do not agree with any part of this Agreement, you may not use the services.
2. Description of Services
The Company, through its product Bramble, provides podcast hosting services that allow Customers to upload, store, and distribute audio and related content via the internet.
3. Account Registration
To use our services, you must create an account and provide accurate and complete information. You are responsible for maintaining the confidentiality of your account login credentials and for all activities associated with your account.
4. Content Ownership
You retain ownership of all content you upload to Bramble. By using our services, you grant the Company a worldwide, non-exclusive, royalty-free license to reproduce, distribute, and display your content solely for the purpose of providing the services.
5. Prohibited Content
You agree not to upload or distribute content that:
- Violates any applicable laws or regulations.
- Infringes on the intellectual property rights of others.
- Contains malware, viruses, or other harmful code.
- Promotes hate speech, violence, or discrimination.
- Violates the privacy or publicity rights of others.
6. Payment and Billing
Payment for our services is on a subscription basis. You agree to pay all fees associated with your chosen subscription plan. The Company reserves the right to change pricing and payment terms with notice.
7. Cancellation
Customers can cancel their subscription by logging into the Bramble website or by contacting support at support@bramble.fm.
8. Termination
The Company may terminate or suspend your account and access to the services at its sole discretion, with or without cause, at any time. You may also terminate your account at any time by providing written notice to the Company.
9. Data and Privacy
The Company collects and uses customer data in accordance with its Privacy Policy, available on its website. By using the services, you consent to the Company’s data practices.
10. Limitation of Liability
The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the services.
11. Indemnification
You agree to indemnify and hold Origin Podcast Services Ltd harmless from any claims, damages, losses, or liabilities arising out of your use of the services or your violation of this Agreement.
12. Changes to Terms
The Company reserves the right to modify this Agreement at any time. Notification of changes will be posted on the Company’s website, and it is your responsibility to review these changes.
13. Governing Law and Jurisdiction
This Agreement is governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or related to this Agreement will be subject to the exclusive jurisdiction of the courts of England and Wales.
14. Entire Agreement
This Agreement constitutes the entire agreement between you and Origin Podcast Services Ltd and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties.
